GENERAL TERMS AND CONDITIONS OF DELIVERY AND SALE OF PION CABLE PROTECTION<\/strong><\/p>

1. General<\/strong>
In these general terms and conditions, PION Cable Protection shall mean PION Kunststoffen B.V. of Amersfoort.<\/p>

Applicability<\/strong>
2.1 These general terms and conditions shall apply to all purchase agreements where PION Cable Protection acts as (potential) seller of one or more items and to all assignment agreements where PION Cable Protection acts as (potential) contractor in relation to one or more activities.
2.2 Applicability of general terms and conditions used by the other party is expressly rejected.
2.3 Deviations from these general terms and conditions shall only apply insofar as they have been expressly agreed by the parties in writing. The other party cannot derive any rights from such deviations with regard to subsequently concluded agreements.<\/p>

3. Offers\/ conclusion of agreement.<\/strong>
3.1 If the other party places an order\/assignment, the agreement shall only come into effect when PION Cable Protection confirms this order\/assignment in writing or when PION Cable Protection has commenced execution of the order\/assignment.
3.2 Amendments and\/or additions to the concluded agreement shall only apply insofar as they have been expressly agreed by the parties in writing.
3.3 All drawings, dimensions and weights shown or provided by PION Cable Protection are for indicative purposes only and are in no way binding in respect of goods to be delivered or work to be performed by PION Cable Protection.<\/p>

4. Prices<\/strong>
4.1 All prices are exclusive of VAT. Prices of items sold by PION Cable Protection are ex-factory\/warehouse.
4.2 Changes in labour wages, cost prices of raw materials or materials and\/or exchange rates affecting the cost price for PION Cable Protection of items to be delivered or work to be performed by PION Cable Protection can be passed on by PION Cable Protection in the price to be paid by the other party.<\/p>

5. Delivery\/performance of work.<\/strong>
5.1 The delivery times agreed with PION Cable Protection, or periods within which work is to be performed by PION Cable Protection, shall be indicative and not a deadline, unless otherwise expressly stipulated by PION Cable Protection in writing.
5.2 Delivery of goods shall be ex-factory\/warehouse.
5.3 PION Cable Protection is entitled to fulfil the performance(s) it owes in part.
5.4 If the other party fails to cooperate in delivering the goods as agreed, PION Cable Protection shall be entitled to store the goods (or have them stored) at the other party's expense and risk, without prejudice to its other rights in connection with the other party's failure to fulfil its obligations.<\/p>

6. Payment<\/strong>
6.1 Invoices from PION Cable Protection must be paid within 30 days of the invoice date in the manner indicated by PION Cable Protection. If a method of payment has not been expressly agreed, invoices are to be paid by giro payment. Payment must be made effectively in the agreed currency. If the currency has not been expressly agreed in writing, payment must be made in euros.
6.2 If this possibility has not been expressly agreed in writing, the other party shall not be permitted to set off invoices from PION Cable Protection against outstanding claims against PION Cable Protection, nor shall the other party be permitted to suspend its obligations for any reason.
6.3 In the event of late payment, the other party shall be in default by operation of law and all payment obligations of the other party, regardless of whether PION Cable Protection has already invoiced in this regard, shall become immediately due and payable.
6.4 In the event of late payment, the other party shall owe contractual default interest of 8% on an annual basis, unless the statutory interest rate is higher, in which case the other party shall owe that statutory interest rate.
6.5 In the event of late payment, the other party shall owe the actual costs incurred by PION Cable Protection to obtain payment of its claim out of court, but in any event an amount calculated in accordance with the collection rate of the Netherlands Bar Association.
6.6 In the event that PION Cable Protection has had to institute legal proceedings to obtain payment, if the proceedings are lost, the other party shall be liable for all costs actually incurred by PION Cable Protection, subject to deduction of the costs in which it has been ordered under Articles 56 & 57 Rv.
6.7 Payments by or on behalf of the other party shall consecutively serve to pay the extrajudicial collection costs owed by it, judicial costs, the interest owed by it and then, in order of age, the outstanding principal sums, regardless of any indication to the contrary by the other party.<\/p>

7. Retention of title<\/strong>
7.1 PION Cable Protection retains title to the goods delivered or to be delivered by it until such time as: A- The performances owed by the other party for all .goods delivered or to be delivered pursuant to the agreement as .also work carried out or to be carried out pursuant to such agreement; B- Claims due to failure of the other party to comply with such agreement(s). The other party shall not be allowed to invoke its right of retention in respect of safekeeping costs and to set off those costs against the performances it owes.
7.2 If any item belongs to PION Cable Protection pursuant to Article 7.1, the other party shall only be permitted to dispose of it in the course of its normal business operations.
7.3 The other party is prohibited from reselling or processing the goods sold and\/or delivered to it in\/to other goods as long as these goods do not (yet) belong to it by virtue of Article 7.1, except insofar as this takes place within the framework of its normal business operations, on penalty of a fine payable to PION Cable Protection of twice the invoice value of the litigious goods sold and\/or delivered by PION Cable Protection. If the other party nevertheless forms a new item from or partly from the items referred to in Article 7.1, the other party shall form this item for PION Cable Protection and hold this item for PION Cable Protection until the other party has fulfilled all its obligations as referred to in Article 7.1.
7.4 If the other party is in default with regard to a performance as referred to in Article 7.1, PION Cable Protection shall be entitled to retrieve (or have retrieved) the goods belonging to it from the place where they are located at that time at the expense of the other party. The other party hereby grants PION Cable Protection irrevocable authorisation to enter the areas used by or on behalf of the other party for this purpose.<\/p>

8. Certainty.<\/strong>
8.1 If PION Cable Protection has good reason to believe that the other party will not fulfil its obligations punctually, the other party shall be obliged at the first request of PION Cable Protection to immediately provide sufficient security by means of a bank guarantee, a surety by a third party or in another form expressly accepted by PION Cable Protection or to supplement security already provided for the fulfilment of all its obligations. As long as the other party has not complied with this, PION Cable Protection shall be entitled to suspend fulfilment of its obligations.
8.2 If the other party has not complied with a request as referred to in Article 8.1 within 14 days of a written demand to that effect, it shall be in default by operation of law vis-\u00e0-vis PION Cable Protection and all its obligations shall become immediately due and payable.<\/p>

9. Complaints \/ Duty to investigate.<\/strong>
9.1 The other party shall be obliged on delivery by PION Cable Protection to examine whether the goods conform to the agreement and, if PION Cable Protection has performed work, the other party shall be obliged on completion of this work to examine whether it has been properly carried out. If the performance delivered by PION Cable Protection does not comply with the agreement, the other party can no longer invoke this if it has not notified PION Cable Protection of the defect in writing, stating reasons, as soon as possible but in any event within 10 days of delivery of the goods or completion of the work, or at least after the discovery of the defect was reasonably possible. 9.2 Claims and defences based on facts which would justify the assertion that the performance delivered by PION Cable Protection does not comply with the agreement shall lapse one year after delivery of the goods or completion of the work.<\/p>

10. Intellectual property.<\/strong>
10.1 All documentation, sales leaflets, images, drawings etc. provided by PION Cable Protection to the other party and all intellectual property rights relating thereto shall remain the property of PION Cable Protection.
10.2 The other party is not entitled to use the documents referred to in article 10.1 other than for the purpose of using the goods to which they relate.
10.3 The other party is not entitled to reproduce and\/or disclose to third parties the documents referred to in Article 10.1 or the data contained therein or otherwise made known to it, unless PION Cable Protection gives its express written consent to this effect.<\/p>

11. Dissolution and Liberation.<\/strong>
11.1 If the other party fails to provide the security requested by PION Cable Protection as referred to in Article 8 or if at any time the other party does not appear to be creditworthy and it subsequently fails to provide security as referred to in Article 8, PION Cable Protection shall be entitled to dissolve the agreement with immediate effect. PION Cable Protection shall be entitled to dissolve the agreement or, at its discretion, to suspend fulfilment of its obligations if the Natural Persons Debt Rescheduling Act is declared applicable to the other party, the other party is placed under guardianship, the other party is granted a suspension of payments or is in a state of bankruptcy, or a request for suspension of payment or a petition for bankruptcy of the other party is filed, the other party's company is transferred, liquidated or shut down, or if a prejudgment attachment or attachment under execution is levied against the other party. In the event of dissolution, the other party shall make no claim for any loss suffered as a result.
11.2 In the cases referred to in Article 11.1, the other party shall furthermore be obliged, at the request of PION Cable Protection, to pay all its remaining payment obligations within one week of the dating of this request, regardless of whether PION Cable Protection has already invoiced in this regard, failing which the other party shall be in default vis-\u00e0-vis PION Cable Protection.
11.3 Only if and insofar as PION Cable Protection fails in any way in the fulfilment of an obligation incumbent on it as a result of one or more circumstances that cannot be attributed to PION Cable Protection and fulfilment will also not be possible for two consecutive months, the other party shall be entitled to dissolve the agreement. In said case, PION Cable Protection shall also be entitled to dissolve the agreement. As long as compliance with an obligation resting on it is not permanently impossible, PION Cable Protection is nevertheless entitled to suspend its performance.
11.4 As circumstances that cannot be imputed to PION Cable Protection, among others as referred to in Art. 11.3, may in any case be regarded as: conduct of persons of whom PION Cable Protection makes use of in the execution of an obligation resting on it, except insofar as the conduct is attributable to intent or gross fault of managers of PION Cable Protection; unsuitability of items of which PION Cable Protection makes use in the execution of an obligation resting on it; strike or illness of persons whose services PION Cable Protection uses in the performance of its obligations and who cannot reasonably be replaced; import, export and\/or transit prohibitions; non-fulfilment by PION Cable Protection's suppliers of their obligations to PION Cable Protection.<\/p>

12 Liability.<\/strong>
12.1 Any liability of PION Cable Protection shall be limited to the invoice value of the goods or work sold or performed by PION Cable Protection. PION Cable Protection is nevertheless in no case liable for damage suffered by the other party to the extent that it exceeds the amount eligible for compensation under PION Cable Protection's business liability insurance in the relevant case.
12.2 PION Cable Protection shall in no case be liable for consequential and indirect business damage, such as stagnation damage or loss of profit and for damage other than to persons or property.
12.3 PION Cable Protection shall in no event be liable for damage and\/or loss, in any form whatsoever, arising from improper and\/or inexpert use of the goods supplied by it. The other party must prove that the goods have been used properly.
12.4 PION Cable Protection stipulates all statutory and contractual defences which it can invoke to ward off its own liability to the other party, also on behalf of its subordinates and non-subordinates, for whose conduct it would be liable under the law.
12.5 PION Cable Protection shall only be liable in respect of items supplied by it by third parties and subsequently supplied by it or used within the scope of its work insofar as the third party has not excluded its liability to PION Cable Protection.
12.6 The other party shall indemnify PION Cable Protection against all claims by third parties, however named, in respect of damage and\/or loss suffered by these third parties in connection with the goods delivered or work performed by PION Cable Protection.
12.7 In the event of any shortcoming in the fulfilment of an obligation incumbent on it, PION Cable Protection shall not be liable for loss consequently suffered by the other party if the shortcoming is due to one or more circumstances which cannot be attributed to PION Cable Protection. For a non-exhaustive enumeration of circumstances to be regarded as such, please refer to Article 11.4.<\/p>

13. Applicable law \/ Competent court.<\/strong>
13.1 All agreements shall be governed exclusively by Dutch law. Any applicability of the Vienna Sales Convention is expressly excluded.
13.2 Disputes between PION Cable Protection and the other party in connection with the agreement shall be exclusively adjudicated by the Dutch court within whose jurisdiction PION Cable Protection is confirmed, unless PION Cable Protection as plaintiff or requesting party chooses to submit the dispute to another competent court in the Netherlands. All this insofar as, based on rules of mandatory law, another court does not have jurisdiction.<\/p>

14. Conversion.<\/strong>
If and insofar as any provision in these general terms and conditions cannot be invoked on the grounds of reasonableness and fairness or its unreasonably onerous nature, that provision shall, as far as possible, be accorded a corresponding meaning in terms of its contents and purport, so that it can be invoked.
